This website (forgionecounsel.ca) is operated by Forgione Deal and Corporate Counsel Professional Corporation. We are located at 4145 N Service Rd., 2nd Floor, Burlington, ON L7L 6A3. We have appointed a Privacy Officer who is accountable for our personal information handling practices: Wes Forgione. If you have a question or complaint about our personal information handling practices, please contact us using the details in Section 13 below. In this Privacy Notice, "we," "our," and "us" mean Forgione Deal and Corporate Counsel Professional Corporation.

2. Effective Date and Scope

This Privacy Notice is effective as of July 2, 2026, and governs our practices with respect to personal information we collect through forgionecounsel.ca. It reflects our obligations under the Personal Information Protection and Electronic Documents Act (PIPEDA), the Law Society of Ontario's Rules of Professional Conduct, and the duty of confidentiality and solicitor-client privilege that governs our practice. This Notice does not address personal information we may collect through means other than our website, such as by phone, in person, or through a signed engagement — those practices are governed by the same underlying principles set out here and can be explained further on request.

3. What Personal Information Do We Collect?

Personal information is information that identifies you, or could reasonably be combined with other information to identify you. Depending on the nature of your matter, this may include your name, home or mailing address, personal email address, personal phone or mobile number, and information relevant to the legal work we are retained to perform. If you are a business contact — such as a referral partner, broker, or advisor — your business title, business address, and business phone number used to contact you in that capacity is generally not treated as personal information under PIPEDA.

We collect personal information from you when you complete our website's contact or intake forms, book a consultation, or otherwise communicate with us by phone, email, or SMS. Where relevant to a secured lending or corporate finance matter, we may also request information from consumer reporting agencies or public registries (such as PPSA searches) as part of standard due diligence, with your knowledge.

4. How Do We Use Your Personal Information?

We use your information to provide legal services and manage our practice. Examples include:

• responding to inquiries and scheduling consultations;
• opening, managing, and communicating with you about your matter, including by SMS text message where you have provided your mobile number and consented to receive such messages;
• issuing invoices and processing payments;
• maintaining client and file records as required by law and by the Law Society of Ontario; and
• with your express consent, sending periodic newsletters or insights relevant to your business.

We retain your information for as long as necessary to fulfill the purposes for which it was collected, including to meet retention requirements imposed by the Law Society of Ontario and our professional insurers. Information is securely destroyed once it is no longer required.

5. SMS and Text Message Communications

If you provide your mobile number to the Firm, you may receive SMS text messages related to your matter — such as scheduling confirmations, document signing reminders, or brief status updates. SMS is used only for one-to-one, matter-related communication and never for bulk marketing. Message and data rates may apply. The following keywords are recognized automatically:

• START — Opts you in (or back in) to receiving SMS messages from the Firm and triggers an automated confirmation message.
• STOP — Immediately unsubscribes you from further SMS messages and triggers an automated confirmation that you have been opted out. You may reply START at any time to opt back in.
• HELP — Triggers an automated message providing our phone number and email address for assistance.

6. Website Analytics and Cookies

We automatically collect certain information when you visit our website in order to understand website usage and improve your experience, including your browser type, operating system, referring website, and IP address, and information about how you navigate through our pages. We use this information for technical purposes — such as ensuring pages load correctly — and to understand which content is useful to visitors. You may disable cookies through your browser settings; doing so may limit certain website features.

7. Your Ad Choices: Interest-Based Advertising

Our website uses Google Analytics and Google Ads, which may use cookies and similar technologies to recognize your browser so that we can measure the effectiveness of our marketing and, in some cases, show you relevant advertising about our services on other websites you visit ("interest-based advertising"). We do not sell personal information. We may share personal information with service providers who help us operate our practice — such as our practice management software, cloud hosting, email, and payment processing platforms — and only to the extent necessary for them to perform those services. We require our service providers to keep your personal information secure and to use it only for the purposes we specify.

We may also disclose personal information to co-counsel, opposing counsel, lenders, or other parties where necessary to carry out your matter, with your consent or as otherwise permitted by law. In the event of a sale, merger, or reorganization of the Firm's practice, personal information may be transferred as part of that transaction, subject to the same protections described in this Notice.

10. Law Enforcement Requests

We will disclose personal information without your knowledge or consent if we receive an order, subpoena, warrant, or other legal requirement issued by a court, tribunal, regulator, or other person with jurisdiction to compel disclosure. Where information is urgently required to prevent serious bodily injury, we may respond directly; otherwise, our policy is to require law enforcement to obtain a valid order, subpoena, or warrant before we disclose personal information.

11. Storage Outside of Canada

Your personal information may be transferred to, stored, or processed by our service providers in jurisdictions outside of Canada, including the United States. Where this occurs, that information becomes subject to the laws of the jurisdiction in which it is stored, which may differ from Canadian law. We require our service providers to safeguard your personal information through appropriate contractual and security measures, and we remain accountable for your personal information regardless of where it is stored.

12. How Do You Access, Correct, or Complain About Your Personal Information?

Upon written request, and subject to limited legal exceptions (such as information protected by solicitor-client privilege), we will confirm what personal information we hold about you, provide access to it, and correct any inaccuracies. Requests involving significant file retrieval may be subject to a reasonable fee, which we will disclose to you in advance. Access, correction, or complaint requests can be directed to our Privacy Officer using the contact details in Section 13.

13. How Do We Protect Your Personal Information?

We maintain reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the information involved, including access-controlled file management systems and password-protected networks. All firm personnel are trained to handle personal information only as necessary to serve our clients. Although we take reasonable precautions, no system is completely secure, and email and SMS in particular are not perfectly secure channels — if you are sending highly sensitive information, please discuss the appropriate method with us first.

Our website may contain links to third-party websites, including our social media profiles, provided for your convenience. We do not control and are not responsible for the content or privacy practices of any third-party website. Your use of a third-party website is governed by that website's own privacy policy, not by this Notice.

15. Notice to Persons Outside of Canada

This Privacy Notice is governed by the laws of Canada and the Province of Ontario. By submitting personal information to us, you understand that it will be collected, used, and disclosed in accordance with those laws. Our lawyers are called to the bar in Ontario and British Columbia only; nothing in this Notice or on our website should be understood as an offer to provide legal services in any other jurisdiction.
